Terms of Sale

1. Scope
These Terms of Sale govern paid subscriptions to the WineCRM service purchased directly from FlowLabs SAS, with share capital of €5,000, registered with the Bordeaux Trade and Companies Register under number 100 545 003, whose registered office is at 2 chemin de Peyrouley, 33360 Carignan-de-Bordeaux, France, EU VAT number FR38100545003 (« FlowLabs »). Subscriptions are reserved for professionals acting for the purposes of their business (winegrowers, wine estates, cooperative wineries, négociants, sales agents, distributors, wine merchants, sommeliers and trade organisations). By subscribing, the Customer declares that it is acting in this capacity.
These Terms of Sale supplement the Terms of Use and the DPA. Terms defined in the Terms of Use have the same meaning here. The Terms of Sale in force on the date of the order apply; they prevail over any document of the Customer.
2. Plans and prices
Prices are stated in euros excluding VAT. Applicable VAT is added before the order is confirmed.

Monthly equivalents for annual plans are given for information only: an annual plan cannot be paid monthly.
The Pro plan includes in particular unlimited contacts, unlimited text and voice notes, business card scanning, prospect import from Google Maps, the interactive map and route optimisation, PDF sheet generation, sales history import, follow-up alerts, 2 GB of documents per user and priority email support. The detailed content of each plan is shown on the Pricing page before ordering.
3. Founder offer
The Founder offer is limited to the first 50 subscriptions. It gives access to all features of the Pro plan and their updates.
Its price of €358.80 excl. VAT per year is guaranteed for as long as the subscription is renewed each year without interruption. Cancellation permanently forfeits the Founder price from its effective date; a new subscription is subject to the terms then in force. A payment incident resolved before cancellation does not forfeit the price. The expression « price guaranteed for life » refers to this guarantee during the continuity of the subscription and the operation of the Service; it is neither a perpetual licence nor a commitment to operate the Service indefinitely. Statutory changes in taxes remain applicable.
The offer is personal, non-transferable and cannot be combined with any other promotion. It is allocated in order of subscription, using the promotional code shown on the website.
4. Ordering
Subscriptions are purchased exclusively on the WineCRM website or web application. No purchases are offered in the iOS and Android mobile apps.
Before confirming, the Customer checks the plan, price, billing period and renewal terms, then accepts these Terms of Sale by ticking a box that is not pre-ticked. The order is confirmed by email, together with the invoice.
5. Free trial
Every new account gets a free 14-day trial, with no credit card required. The end of the trial triggers no payment: without a subscription, the account switches to the free Starter plan.
6. Payment and invoicing
Payment is made by bank card through the payment provider Stripe. Card details are entered directly on Stripe’s secure interface and do not pass through FlowLabs’ servers. The Customer authorises the charges corresponding to its plan at each due date.
Invoices are issued on subscription and at each renewal and are made available by email or in the Customer’s account. They are payable on receipt. No discount is granted for early payment.
Late payment. Any late payment automatically incurs, from the day after the due date and without prior reminder, late-payment interest at the rate applied by the European Central Bank to its most recent refinancing operation plus ten percentage points, together with a fixed recovery fee of €40 per invoice (Articles L. 441-10 and D. 441-5 of the French Commercial Code). Additional compensation may be claimed on proof if the costs incurred are higher.
Failed payment. If a payment fails, the Customer is informed by email and asked to settle it. If it is not settled within 15 days of this notice, FlowLabs may suspend access to paid features and then cancel the subscription after a formal notice that remains unanswered. Customer Data is not deleted as a result of the suspension.
7. Term, renewal and cancellation
The subscription is taken out for one month or one year and then tacitly renewed for the same period, unless cancelled before the renewal date.
The Customer may cancel at any time from its account or by email to contact@winecrm.app. Cancellation takes effect at the end of the paid period, during which access remains open. The account then switches to Starter, unless account deletion is requested. The current period is not refunded, except in the cases provided below.
FlowLabs reminds Customers with an annual subscription of the renewal date by email at least 30 days before it.
8. Right of withdrawal
As subscriptions are reserved for professionals for the purposes of their business, no contractual right of withdrawal is granted. Any right of withdrawal that is mandatorily applicable to a particular situation remains preserved.
9. Breaches and discontinuation of the Service
In the event of a serious breach by FlowLabs not remedied within 30 days of a written, reasoned formal notice, the Customer may terminate with immediate effect and obtain a refund of the unused prepaid period.
In the event of a serious breach by the Customer (in particular non-payment or a serious breach of the Terms of Use) not remedied within 15 days of a formal notice, FlowLabs may terminate the subscription.
If FlowLabs decides to permanently discontinue the Service, other than because of a breach by the Customer, it informs the Customer at least 60 days in advance, refunds the unused prepaid period and arranges for the export of Customer Data.
10. Changes to prices and the Service
Any price increase applicable to an ongoing subscription is notified at least 60 days before the renewal concerned. The Customer may cancel before that date. This option does not affect the Founder price guarantee.
Any substantial removal of an essential feature is announced at least 30 days in advance, except where required by law or for security reasons. If it substantially deprives the Customer of the agreed service during a paid period, FlowLabs offers an equivalent solution or termination with a refund of the unused period.
11. Data
The Customer remains the owner of Customer Data. Its processing, return and deletion are governed by the DPA. Switching to Starter deletes no data, and display restrictions do not prevent export.
12. Liability
FlowLabs is bound by an obligation of means (best efforts) and does not guarantee any commercial result. It remains responsible for its own obligations, including when it uses service providers.
FlowLabs is not liable for indirect damage, including loss of revenue, margin, customers or business opportunity, or damage to reputation.
Except in cases of gross negligence or wilful misconduct, personal injury and mandatory legal provisions, FlowLabs’ total liability under the subscription, on all grounds combined, is limited to the amount excluding VAT corresponding to six (6) months of subscription at the rate applicable to the Customer (for example €299.40 excl. VAT for Pro monthly, €239.40 for Pro annual, €179.40 for Founder).
These limitations do not apply to the rights that data subjects derive from data protection law.
13. Force majeure
Neither party is liable for any failure to perform due to force majeure within the meaning of Article 1218 of the French Civil Code. If the impediment lasts more than 30 days, either party may terminate the subscription; the unused prepaid period is then refunded.
14. Assignment
FlowLabs may assign the contract to a company taking over the operation of the Service, informing the Customer, who may then terminate free of charge within 30 days. The Customer may not assign its subscription without FlowLabs’ written consent.
15. Changes to the Terms of Sale
Substantial changes to these Terms of Sale are notified by email at least 30 days before they take effect. A Customer who refuses them may cancel before that date; the previous terms apply until the end of its current period.
16. Evidence
Electronic records kept by FlowLabs and Stripe under reasonable security conditions (orders, acceptances, payments, emails, invoices) constitute evidence between the parties, unless proven otherwise.
17. Governing law and disputes
These Terms of Sale are governed by French law. In the event of a dispute, the parties shall first seek an amicable solution for 30 days from the written complaint, without prejudice to urgent measures. Failing that, and where both parties are traders (commerçants), the courts within the jurisdiction of the Bordeaux Court of Appeal shall have exclusive jurisdiction; in other cases, the statutory rules of jurisdiction apply.
